Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and MaqtAi ("MaqtAi", "we", "us", or "our") governing your access to and use of the MaqtAi websites, applications, APIs, and services (collectively, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. The Service and license to use it

MaqtAi turns a topic you provide into an AI-generated short video - script, imagery, motion, voiceover, captions, and assembly - and can help you publish it to third-party platforms. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes. We may modify, suspend, or discontinue any part of the Service at any time, and may set and enforce limits on usage (including generation quotas).

3. Accounts and registration

You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. One account per person unless we agree otherwise. You have no ownership or other property interest in your account, and we may suspend or terminate accounts that contain false information or are associated with a prior violation or ban.

4. Credits, billing, and refunds

Paid features are billed through our third-party payment processor (Stripe). By purchasing, you authorize MaqtAi and Stripe to share and process the information needed to complete your transaction; we do not store full card numbers. The Service runs on prepaid credits that are consumed as you generate videos.

  • Credits are prepaid, non-transferable, have no cash value, and may expire upon cancellation, account closure, or as otherwise stated at purchase.
  • Promotional or bonus credits (including any first-plan bonus) may carry separate expiration and eligibility rules and cannot be redeemed for cash.
  • Except as expressly stated in these Terms or required by law, all fees and credit purchases are non-refundable. Generation may rely on usage-priced third-party AI providers, so credits consumed by a completed or attempted generation are not refundable.
  • You are responsible for any applicable taxes. Prices may change on a prospective basis with notice.

5. Subscriptions and auto-renewal

If you purchase a recurring plan, it automatically renews at the then-current price for successive periods until cancelled. You may cancel at any time in your account settings or by emailing [email protected]; cancellation takes effect at the end of the current billing period and does not entitle you to a prorated refund. We may change recurring pricing with prior notice for future periods.

6. Your content and inputs

"Your Content" means the topics, text, prompts, images, audio, brand assets, and other materials you provide or that you generate using the Service ("Inputs" and "Outputs"). You are solely responsible for Your Content and represent that you own or have all rights necessary to provide it and to use the resulting Outputs, and that it does not infringe, defame, or violate any law or third-party right. Cloud copies of generated videos remain available for re-download for the period stated on our pricing page for your plan (the "download window"). When a subscription ends, re-downloads pause and your cloud library is retained for 30 days; if no plan is reactivated within that period, the library is permanently removed. Videos already published to your connected platforms and files you have already downloaded are unaffected. Intermediate production files (such as scene images and audio stems) may be removed shortly after a video is rendered. Beyond the foregoing, we have no obligation to store Your Content and are not responsible for its loss or deletion.

7. AI-generated output

As between you and MaqtAi, and subject to your compliance with these Terms and payment of applicable fees, you own the Outputs you generate and are responsible for how you publish, distribute, and monetize them. Because the Service uses generative models:

  • Outputs are produced algorithmically and may be inaccurate, may resemble content generated for other users, and may not be eligible for certain intellectual-property protection. We make no guarantee that Outputs are original, unique, accurate, or non-infringing.
  • You are responsible for reviewing Outputs and ensuring your use complies with applicable law, third-party rights, and the rules of any platform on which you publish. Do not use Outputs in any manner that is misleading, defamatory, or that misappropriates a person's name, voice, or likeness without rights to do so.

8. License you grant to us

You grant MaqtAi a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and create derivative works of Your Content solely as needed to operate, secure, support, and improve the Service and to provide it to you - including transmitting Inputs and Outputs to the third-party AI and infrastructure providers that power generation, and to the social platforms you direct us to publish to. We may use aggregated and de-identified data (which does not identify you or reveal Your Content) to operate and improve the Service. This license ends when Your Content is removed, except for de-identified data and copies retained for backup, legal, or compliance purposes.

9. Acceptable use

You agree not to use the Service to create, upload, or publish content, or to act, in a way that:

  • is unlawful, infringing, defamatory, deceptive, fraudulent, harassing, hateful, sexually exploitative, or that harms or endangers minors;
  • impersonates any person or entity or misrepresents your affiliation, including non-consensual deepfakes or synthetic media of real individuals;
  • violates the terms, policies, or rate limits of any connected platform or third-party service, or facilitates spam or inauthentic automated publishing;
  • reverse engineers, scrapes, or attempts to extract the Service's source, models, or underlying data, or uses Outputs to develop or train a competing model or service;
  • interferes with, overburdens, or attempts to gain unauthorized access to the Service or its systems.

We may, but are not obligated to, monitor, screen, refuse, or remove content, and may disclose your identity and content to third parties who assert that your content violates their rights or the law.

10. Third-party services and platforms

The Service relies on and links to third parties, including third-party AI model and GPU providers, cloud and storage infrastructure, payment processing (Stripe), and the social platforms you connect (for example, TikTok, Instagram, and YouTube). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. You are responsible for maintaining your rights and compliance on every platform you connect or publish to.

11. Intellectual property

The Service, including its software, models, design, text, and trademarks, is owned by MaqtAi and its licensors and is protected by intellectual property laws. Except for the limited license granted to you, these Terms grant you no rights in the Service.

12. Copyright and DMCA

We respond to notices of alleged copyright infringement and terminate repeat infringers. If you believe content on the Service infringes your copyright, send a notice to our designated agent at [email protected] (or MaqtAi, Attn: Legal / DMCA Agent) including: identification of the work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act; and your physical or electronic signature.

13. Disclaimer of warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE, LAWFUL, ORIGINAL, OR FIT FOR YOUR PURPOSE. YOUR USE OF THE SERVICE AND OUTPUTS IS AT YOUR OWN RISK.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAQTAI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICE, OUTPUTS, OR ANY THIRD-PARTY PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MAQTAI IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You will defend, indemnify, and hold harmless MaqtAi and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your Outputs and how you use or publish them, your use of the Service, your violation of these Terms or any law, or your infringement of any third-party right. This obligation survives termination.

16. Suspension and termination

These Terms apply while you use the Service. We may suspend or terminate your access immediately for breach of these Terms, suspected unlawful or harmful activity, risk to the Service or others, or to comply with law. You may stop using the Service at any time. Upon termination, your license ends and Your Content may be deleted. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

17. Dispute resolution; arbitration; class waiver

Please read this section carefully - it affects your legal rights. You and MaqtAi agree to first try to resolve any dispute informally by emailing [email protected] and allowing 45 days. If unresolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring qualifying claims in small-claims court. You and MaqtAi waive any right to a jury trial and to participate in a class, collective, or representative action. The arbitration will be conducted by a recognized arbitration administrator under its consumer rules, seated in San Mateo County, California or your county of residence. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms.

18. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Subject to the arbitration section, the courts located in San Mateo County, California have exclusive jurisdiction over any dispute not subject to arbitration. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and may notify you by email or in the Service. Your continued use after the changes take effect constitutes acceptance.

20. General

You may not assign these Terms; we may assign them to an affiliate or successor. Neither party is liable for delays or failures caused by events beyond its reasonable control. Communications may be provided electronically. If any provision is unenforceable, the rest remains in effect.
